Content Submission Terms
Rooted & Rising — Advanced Integrity Studios LLC
By submitting any video, audio, image, text, lesson, presentation, curriculum, performance, or other material (collectively, the "Content") to Advanced Integrity Studios LLC and/or any of its affiliates, subsidiaries, successors, assigns, brands, or d/b/a entities, including without limitation Rooted & Rising (collectively, the "Company"), you ("Submitter") agree to the following terms.
In consideration of the opportunity to submit Content to the Company and to have such Content considered for use through the Company's platforms, brands, and initiatives, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Submitter agrees as follows:
1. OWNERSHIP AND AUTHORITY
You represent and warrant that:
(a) You are the creator and/or lawful owner of the Content, or otherwise possess all necessary rights, permissions, licenses, and authority to submit the Content to the Company and grant the rights described herein;
(b) The Content does not knowingly infringe upon or violate any copyright, trademark, privacy right, publicity right, contractual obligation, or other legal right of any third party;
(c) No additional approvals, permissions, payments, or consents are required for the Company's use of the Content as contemplated by these Terms; and
(d) You are at least 18 years of age and have full legal capacity to enter into these Terms. If the Content was created by, features, or is submitted on behalf of any individual under 18 years of age, the requirements of Section 2 (Submissions Involving Minors) apply.
2. SUBMISSIONS INVOLVING MINORS
If the Content was created by, features, or is submitted on behalf of any individual under 18 years of age (a "Minor"), the following apply:
(a) The Submitter must be the Minor's parent or legal guardian. The parent or legal guardian agrees to these Terms in their own name, is the contracting party, and is responsible for the submission;
(b) The parent or legal guardian represents that they have full authority to submit the Content and to grant the rights set forth in these Terms, and consents, on behalf of the Minor, to the use of the Content and of the Minor's name, likeness, image, and voice as described herein;
(c) Individuals under 13 years of age may not create a submitter account or submit Content; only a parent or legal guardian may do so on their behalf; and
(d) The Company may require verification of the parent or legal guardian's identity and authority before using any such Content, and may decline or remove Content if such verification is not provided.
3. CHILD-DIRECTED CONTENT; COPPA
At the time of submission, Submitter must indicate whether the Content is directed to children under 13 ("Child-Directed Content"). For Content designated as, or reasonably determined by the Company to be, Child-Directed Content, the Company will limit its collection and use of personal information and will disable personalized advertising and certain interactive features in accordance with applicable law, including the Children's Online Privacy Protection Act (COPPA). The Company may review and re-designate any Content it reasonably determines to be directed to children.
4. RETENTION OF OWNERSHIP; LICENSE
You retain ownership of your Content. By submitting Content to the Company, you grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to use, host, store, reproduce, distribute, publish, display, perform, transmit, stream, adapt, edit, modify, translate, subtitle, dub, create derivative works from, market, promote, monetize, and otherwise exploit the Content, in whole or in part, in any manner and in any media or format now known or later developed.
This license includes the right for the Company to use the Content in connection with educational programming, instructional materials, community initiatives, marketing, advertising, social media, platform operations, and related activities determined by the Company in its sole discretion. Because this license is non-exclusive, you remain free to use, license, and otherwise exploit your own Content yourself and through others.
5. EDITORIAL RIGHTS AND MORAL RIGHTS
You acknowledge and agree that the Company may edit, crop, revise, rearrange, combine with other works, translate, transcribe, subtitle, dub, adapt, shorten, expand, or otherwise modify the Content in any manner the Company deems appropriate in its sole discretion, without further approval or compensation.
To the fullest extent permitted by applicable law, you waive, and agree not to assert against the Company or its licensees, any moral rights or analogous rights you may have in the Content, including any right to object to modification, adaptation, or use of the Content as permitted by these Terms.
6. NAME, LIKENESS, AND VOICE
You grant the Company a non-exclusive, perpetual, worldwide, royalty-free right to use your name, likeness, image, voice, biography, social media identifiers, and other identifying information in connection with the Content and the Company's educational, promotional, marketing, and operational activities. Where the Content involves a Minor, this right is granted by the Minor's parent or legal guardian as provided in Section 2.
7. PURPOSE
You acknowledge that the Company presently intends to use the Content for educational dissemination, instructional use, informational programming, and related purposes. This description of intended purposes is illustrative only and does not limit the rights granted to the Company under these Terms, which the Company may exercise in any manner and for any purpose, commercial or otherwise, in its sole discretion.
8. NO LIABILITY FOR UNAUTHORIZED SUBMISSIONS; INDEMNIFICATION
If you do not possess the rights, permissions, or authority necessary to submit the Content, you acknowledge and agree that such responsibility rests solely with you and not with the Company.
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, members, managers, employees, contractors, agents, affiliates, successors, assigns, licensees, and d/b/a entities from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your submission of the Content; (b) any alleged or actual infringement or violation of third-party rights; (c) your breach of these Terms or of any representation or warranty herein, including any misrepresentation of age or guardianship; or (d) any dispute regarding ownership, authority, permissions, or use of the Content.
9. NO OBLIGATION TO USE CONTENT
The Company is under no obligation to use, publish, distribute, or otherwise exploit any submitted Content and may remove or discontinue use of any Content at any time in its sole discretion.
10. NO COMPENSATION
Unless otherwise agreed in a separate written agreement signed by the Company, you understand and agree that submission of Content is voluntary and that you are not entitled to compensation, royalties, residuals, credit, revenue participation, or other payment in connection with the Company's use of the Content. You acknowledge that the consideration recited above constitutes adequate and sufficient consideration for the rights granted under these Terms.
11. TERM AND SURVIVAL
The rights and licenses granted under these Terms are perpetual and irrevocable and shall survive the removal of the Content, termination of any account, or cessation of your relationship with the Company. Your representations, warranties, waivers, and indemnification obligations shall likewise survive.
12. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Content shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.
13. SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
14. ENTIRE AGREEMENT; AMENDMENT; WAIVER
These Terms constitute the entire agreement between you and the Company regarding the Content and supersede all prior or contemporaneous understandings. These Terms may be amended only by a writing signed by the Company. No waiver of any provision shall be deemed a waiver of any other provision or of the same provision on a later occasion.
15. ACCEPTANCE OF TERMS
By checking a box or clicking a button indicating agreement (for example, "I Agree" or "Submit"), or by otherwise submitting Content to the Company, you acknowledge that you have read, understood, and agreed to these Terms in full. If the submission involves a Minor, these Terms must be accepted by the Minor's parent or legal guardian, who is the Submitter. The Company may retain a record of the date, time, and identity associated with each acceptance.
